Welcome to AI Studio by Aurmada, available at studio.aurmada.com.

These Terms explain the rules for using AI Studio and purchasing products through the platform. By using the site, creating a design, uploading content, or placing an order, you agree to these Terms.

Designs Created With AI Studio

AI Studio lets you create designs using artificial intelligence and apply those designs to apparel and other products.

To keep the platform simple and allow us to operate, improve, reproduce and support the designs created through AI Studio, Aurmada Inc. owns the Generated Content created through the Service to the fullest extent permitted by law.

“Generated Content” includes images, designs, graphics, variations and other creative output produced through AI Studio.

If any rights in Generated Content are legally considered to belong to you when created, you agree to transfer those rights to Aurmada. Where local law does not recognize ownership of certain AI-generated material, Aurmada will retain the broadest contractual and other rights permitted by law.

When you order a product, you are free to enjoy, wear, display and photograph the physical product for your personal use.

Unless Aurmada gives written permission, purchasing a product does not give you the right to separately sell, license, reproduce, distribute, mint, tokenize or commercially exploit the underlying design.

Content You Upload

You continue to own any original photos, artwork, logos or other materials that you owned before uploading them to AI Studio.

By uploading content, you give Aurmada permission to use, store, process, modify and reproduce that content as needed to operate AI Studio, generate designs, manufacture products, fulfill orders, improve the Service and promote the platform.

This permission is worldwide, royalty-free, transferable and sublicensable.

Please only upload content that you own or have permission to use.

You are responsible for making sure your uploads and prompts do not violate another person’s intellectual property, privacy, publicity or other legal rights.

AI-Generated Results

AI systems can sometimes produce unexpected results.

We do not guarantee that a generated design will be completely unique, copyrightable, error-free or free from similarity to other designs.

Other users may also receive similar or identical results.

Aurmada may refuse, remove or prevent the production of content that we believe violates these Terms, applicable law or our platform standards.

Orders and Custom Products

Products created through AI Studio are generally made to order.

Digital previews are intended to give you a good representation of the final product, but colours, placement, size and appearance may vary slightly when printed or manufactured.

Because products are customized, orders are generally final once production begins, except where required by law or where there is a qualifying manufacturing defect.

Shipping and delivery dates are estimates and may be affected by third-party manufacturers, carriers, customs or other factors outside our control.

Aurmada may cancel or refuse an order if a design cannot reasonably be produced or violates these Terms.

Using AI Studio Responsibly

Please do not use AI Studio to:

• Violate applicable laws or another person’s rights
• Upload content you do not have permission to use
• Attempt to access areas of the Service without authorization
• Interfere with the platform or its security
• Scrape or systematically copy content from the Service
• Reverse engineer or misuse our technology
• Circumvent usage limits or technical safeguards

We may suspend or restrict access where reasonably necessary to protect the platform, Aurmada, our users or third parties.

Aurmada’s Technology and Brand

AI Studio, the Aurmada name and brand, our software, interfaces, systems, technology, workflows and related intellectual property belong to Aurmada Inc. or our licensors.

Using AI Studio does not transfer ownership of these assets to you.

All rights not expressly granted in these Terms are reserved.

Third-Party Services

We work with third parties to provide parts of the Service, which may include AI providers, payment processors, cloud infrastructure, manufacturers and shipping companies.

Their services may occasionally be delayed, unavailable or interrupted.

Aurmada is not responsible for issues caused solely by third-party services that are outside our reasonable control.

Service Disclaimer

We work hard to provide a reliable experience, but AI Studio is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Aurmada does not make warranties about uninterrupted availability, specific results, fitness for a particular purpose, merchantability or non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Aurmada and its directors, officers, employees, affiliates and partners will not be responsible for indirect, incidental, special or consequential damages, lost profits, lost opportunities or loss of data arising from the use of AI Studio.

Where liability cannot legally be excluded, Aurmada’s total liability relating to the Service will be limited to the greater of:

CAD $100, or the amount you paid Aurmada during the 12 months before the event giving rise to the claim.

Nothing in these Terms limits rights or remedies that cannot legally be limited.

Your Responsibility for Your Content

If your uploads, prompts or use of AI Studio result in a third-party claim because you did not have the required rights or because you violated these Terms or applicable law, you agree to protect and reimburse Aurmada for resulting losses, claims and reasonable legal costs to the extent permitted by law.

Changes to AI Studio or These Terms

We may update AI Studio and these Terms as the platform evolves.

The latest version will be posted on studio.aurmada.com with an updated effective date.

Your continued use of AI Studio after an update means you accept the revised Terms, where permitted by law.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

Unless applicable consumer law requires otherwise, disputes will be handled by the courts located in Ontario, Canada.
